These Terms of Service ("Terms") govern your use of Aevyn Systems LLC's risk intelligence platform and related services ("Services"). By accessing aevyn.ai or engaging Aevyn under a Statement of Work, you agree to these Terms.
If you are accessing the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Aevyn provides risk intelligence infrastructure for Amazon sellers, including:
The specific scope of services delivered to each client is defined in a separate Statement of Work (SOW). These Terms govern general use of Aevyn's platform and website. The SOW governs the specific engagement.
Account eligibility: You must be a registered Amazon seller operating in good standing to use Aevyn's core monitoring services.
SP-API access: Service delivery requires you to grant Aevyn read-only access to your Amazon Seller account via the Amazon Selling Partner API (SP-API). You retain ownership of your Amazon account at all times. Aevyn's access is limited to what is necessary for service delivery as described in our Privacy Policy.
Account security: You are responsible for maintaining the confidentiality of any credentials used to access Aevyn's client portal.
Revocation: You may revoke SP-API access at any time through Amazon Seller Central under Apps & Services > Manage Your Apps. Revocation will suspend Aevyn's ability to deliver monitoring services but does not automatically terminate your service agreement or affect payment obligations.
Fees are set out in your SOW. Unless otherwise specified:
Refund — 30-day satisfaction period: Setup fees are refundable within 30 days of Go-Live if you notify us in writing. Refunds are not available after this period.
Coverage Commitment (if applicable): If your SOW includes a Coverage Commitment provision, its terms are governed by the SOW and are incorporated here by reference.
You agree not to:
Aevyn's IP: All platform software, detection workflows, policy monitoring systems, and documentation remain the exclusive property of Aevyn Systems LLC. These Terms do not grant you any license to Aevyn's underlying systems beyond what is necessary to receive the Services.
Your data: All data sourced from your Amazon Seller account remains your property. Aevyn processes it solely to deliver the Services described in your SOW.
Output: Risk reports, ticket content, and analysis produced for your account are licensed to you for internal use. You may not distribute or publish this output without written consent from Aevyn.
Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in the course of the engagement. This obligation survives termination of the agreement for a period of three (3) years.
Confidential information does not include information that is or becomes publicly known through no fault of the receiving party, or that the receiving party can demonstrate was independently developed.
By you: You may terminate your SOW according to the notice provisions within it — typically 30 days written notice.
By Aevyn: We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if continued service would require us to violate Amazon's SP-API Terms of Service.
Effect of termination: Upon termination, Aevyn will revoke SP-API access and cease processing your data. Your data will be retained for 12 months per our Privacy Policy, then deleted. Outstanding fees remain due.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
Any dispute arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Wyoming. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality obligations.
Entire agreement: These Terms, together with your SOW and Privacy Policy, constitute the entire agreement between you and Aevyn Systems LLC regarding the Services.
Amendments: We may update these Terms. We will notify active clients by email 14 days before material changes take effect.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
No waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
Assignment: You may not assign your rights under these Terms without written consent from Aevyn. Aevyn may assign these Terms in connection with a merger, acquisition, or sale of assets.
